Terms of Service

By accessing or using RepHQ (“the Service”) at rephq.com.au, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and RepHQ (“we,” “us,” or “our”), an Australian business with ABN 50 589 485 191.

RepHQ is a cloud-based software platform that allows small businesses to monitor, manage, and respond to online reviews across Google Business Profile and Facebook. The Service includes AI-powered response drafting, instant negative review alerts, and review request campaign tools.

You must be at least 18 years of age to use RepHQ. By using the Service you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using RepHQ on behalf of a business, you represent that you have the authority to bind that business to these Terms.

To use RepHQ you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access to your account at rafae@rephq.com.au

We reserve the right to terminate accounts that contain inaccurate information or violate these Terms.

We offer a 14-day free trial for all new accounts. No credit card is required to start your free trial. At the end of the trial period you will be prompted to enter payment details to continue using the Service. If you do not provide payment details your account will be downgraded and access to paid features will be restricted.

Waitlist members who sign up prior to our official launch will receive a 30-day free trial.

Plans and pricing

RepHQ offers three subscription plans:

• Starter: $49 AUD per month
• Growth: $99 AUD per month
• Agency: $199 AUD per month

All prices are in Australian Dollars and exclude GST where applicable.

Billing

Subscriptions are billed monthly in advance. Your subscription renews automatically on the same date each month unless cancelled.

Payment processing

All payments are processed securely by Stripe. By providing payment information you authorise us to charge your payment method on a recurring basis.

Failed payments

If a payment fails we will notify you by email and attempt to retry the charge. If payment remains outstanding after 7 days your account may be suspended.

Price changes

We reserve the right to change our pricing at any time. We will provide at least 30 days notice of any price increases to existing subscribers.

You may cancel your RepHQ subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the period you have paid for. We do not provide refunds for partial months.

There are no cancellation fees or penalties.

We do not offer refunds except in the following circumstances:

• You were charged in error
• The Service was unavailable for an extended period due to our fault
• Required by Australian Consumer Law

To request a refund contact us at rafae@rephq.com.au within 7 days of the charge.

You agree not to use RepHQ to:

• Violate any applicable law or regulation
• Send unsolicited commercial messages or spam
• Upload customer email lists without appropriate consent from those individuals
• Attempt to gain unauthorised access to our systems or other users’ accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to generate fake or misleading reviews
• Resell or sublicense the Service without our written permission (except Agency plan white-label customers)
• Engage in any activity that damages, disrupts, or impairs the Service

We reserve the right to suspend or terminate your account immediately if you violate these terms.

RepHQ integrates with third party services including Google Business Profile and Facebook. Your use of these integrations is subject to the terms and policies of those third parties. We are not responsible for the availability, accuracy, or conduct of third party services.

By connecting your Google or Facebook account to RepHQ you authorise us to access and manage your review data on your behalf in accordance with our Privacy Policy.

You retain ownership of all data you upload to RepHQ including customer email lists and business information. By using the Service you grant us a limited licence to use your data solely for the purpose of providing the Service to you.

You are responsible for ensuring that any customer data you upload to RepHQ has been collected lawfully and that you have appropriate consent to use it for the purposes of review request campaigns.

RepHQ and all of its content, features, and functionality including but not limited to software, text, graphics, logos, and design are owned by us and are protected by Australian and international intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on our platform without our express written permission.

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance from time to time and will endeavour to provide advance notice where possible. We are not liable for any loss or damage caused by temporary unavailability of the Service.

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not warrant that:

• The Service will be uninterrupted or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

Nothing in these Terms excludes any guarantee, warranty, or condition implied or imposed by Australian Consumer Law that cannot lawfully be excluded.

To the maximum extent permitted by Australian law, RepHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages including loss of profits, data, or goodwill arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total amount you paid to us in the 3 months preceding the claim.

Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded under Australian Consumer Law.

You agree to indemnify and hold harmless RepHQ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses including legal fees arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party rights
• Any content or data you submit to the Service

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms together with our Privacy Policy constitute the entire agreement between you and RepHQ regarding your use of the Service and supersede all prior agreements and understandings.
